Vendor Terms and Conditions

These Vendor Terms and Conditions (“Vendor Terms”) govern the relationship between LocalFinda, a product of OLJ Company Ltd. (“LocalFinda,” “we,” “us,” or “our”), and any business, merchant, service provider, professional, artisan, organization, or other person or entity (“Vendor,” “you,” or “your”) that operates as a Vendor on LocalFinda.
By registering as a Vendor, creating or maintaining a Vendor listing, accepting a transaction, receiving payment through LocalFinda, or otherwise using LocalFinda as a Vendor, you agree to these Vendor Terms, the LocalFinda Terms of Use, and other applicable LocalFinda policies.
Vendor Eligibility and Verification
Vendors must provide accurate and complete information and must have the legal authority, licenses, registrations, permits, and certifications required to operate their business and offer their products or services. LocalFinda may request identity, business, payment, licensing, or other verification information before or after approval. Verification does not constitute an endorsement, certification, guarantee, or warranty of a Vendor.
Vendor Listings
Vendors are responsible for ensuring that their listings accurately describe their products and services, including material features, specifications, pricing, availability, applicable restrictions, and fulfillment information. Listings must not be false, misleading, deceptive, or unlawful. LocalFinda may modify, restrict, suspend, or remove listings that violate these Terms or applicable law.
Vendor Responsibilities
Vendors are responsible for fulfilling accepted orders and service requests as described and within the agreed timeframe. Vendors must maintain accurate availability, respond to customers appropriately, and promptly notify LocalFinda when an accepted transaction cannot be fulfilled.
- Products and Services
Vendors are responsible for the legality, quality, safety, authenticity, and regulatory compliance of the products and services they offer. Vendors must honor applicable warranties, guarantees, representations, and commitments they make to customers.
- Customer Communication and Conduct
Vendors must communicate professionally and must not harass, threaten, discriminate against, mislead, or otherwise abuse customers. Vendors must not manipulate reviews, submit false information, or use LocalFinda to facilitate unlawful activity.
- Off Platform Transactions
Vendors must not intentionally use LocalFinda to obtain customers and then move transactions outside the Platform for the purpose of avoiding applicable LocalFinda fees or transaction processes. Legitimate communication necessary to fulfill a transaction is permitted.
- Payments and Vendor Payouts
Where LocalFinda facilitates payments, vendor funds may be subject to settlement periods, verification, refunds, disputes, chargebacks, and other applicable conditions. LocalFinda may temporarily hold or delay payouts where reasonably necessary to investigate a transaction, protect users, address a dispute, comply with law, or recover amounts owed.
Vendor Fees and Withdrawals
Vendors may be charged subscription, transaction, processing, withdrawal, promotional, or other applicable fees disclosed by LocalFinda. Where applicable, a 5% withdrawal processing fee may be deducted from vendor withdrawals. LocalFinda may change applicable fees with reasonable notice.
Refunds, Disputes and Chargebacks
Vendors must cooperate with customer complaints, refund requests, and transaction investigations. Refunds and disputes are governed by LocalFinda’s Refund and Dispute Resolution Policy. Where a refund or chargeback is attributable to a Vendor’s failure to fulfill an accepted transaction, the applicable amount and permitted fees may be deducted from amounts otherwise payable to the Vendor.
Customer Data
Vendors may use customer information obtained through LocalFinda only for legitimate purposes connected to the transaction and must protect it from unauthorized access, disclosure, sale, or misuse. Vendors must comply with applicable data protection requirements and promptly notify LocalFinda of suspected data breaches involving customer information.
Reviews and Ratings
Vendors must not create, purchase, manipulate, or solicit fake reviews or ratings, or threaten customers over reviews. Vendors may respond professionally to customer feedback through available LocalFinda tools.
Intellectual Property and Vendor Content
Vendors represent that they have the right to use content they provide to LocalFinda, including business names, logos, photographs, videos, and descriptions. Vendors grant LocalFinda a non-exclusive, worldwide, royalty-free license to use such content to operate, promote, and improve the Platform and Vendor listings.
Suspension and Termination
LocalFinda may suspend, restrict, or terminate a Vendor account or listing for fraud, repeated complaints, poor fulfillment, prohibited products, failed verification, regulatory concerns, payment abuse, policy violations, or other material risks. LocalFinda may temporarily restrict pending vendor funds where reasonably necessary to address refunds, chargebacks, disputes, fraud, or legal obligations.
Independent Business Relationship
Vendors operate as independent businesses. These Terms do not create an employment, partnership, joint venture, franchise, or agency relationship between the Vendor and LocalFinda unless expressly agreed in writing.
Indemnification and Liability
To the maximum extent permitted by applicable law, Vendors are responsible for claims arising from their products, services, business operations, misconduct, violation of law, violation of these Terms, or infringement of third-party rights. LocalFinda’s liability is limited to the maximum extent permitted by applicable law, and nothing in these Terms excludes liability that cannot legally be excluded.
Governing Law and Disputes
These Vendor Terms are governed by the laws of the Federal Republic of Nigeria, except where applicable law requires otherwise. Vendors should first use LocalFinda’s support and dispute resolution process before pursuing a formal dispute, without limiting rights available under applicable law.
Other Policies
These Vendor Terms must be read together with the LocalFinda Terms of Use, Refund and Dispute Resolution Policy, Delivery Policy, Payment and Wallet Policy, Prohibited Products and Services Policy, Privacy Policy, and other applicable policies. Those policies form part of the Vendor’s obligations on LocalFinda.
Changes
LocalFinda may update these Vendor Terms from time to time. Material changes may be communicated through the Platform, email, account notification, or another reasonable method. Continued use of LocalFinda after the effective date of updated Terms constitutes acceptance to the extent permitted by applicable law.
